Terms of Service

The Services are made available solely to business entities and their authorized representatives that have entered into a services agreement with Netaro. By accepting these Terms, you represent and warrant that you are authorized to bind your organization, that your organization is duly formed and in good standing, and that your use of the Services complies with all laws applicable to your business.

The Services are not intended for, and may not be used by, retail consumers or individuals seeking personal payment services.

Account Registration

You must provide accurate, current, and complete onboarding information, including Know Your Business (KYB) and beneficial ownership documentation, and keep it up to date.

Credential Security

You are solely responsible for safeguarding API keys, access credentials, and the security of your endpoints, and for all activity that occurs under your account.

Authorized Users

You are responsible for the acts and omissions of your authorized representatives accessing the Services on your behalf.

Notification

You must promptly notify Netaro at hello@netaro.xyz of any suspected unauthorized access or security incident affecting your account.

Unlawful Activity

Use the Services for money laundering, terrorist financing, sanctions evasion, fraud, or any unlawful purpose.

Prohibited Counterparties

Transact with persons, entities, or jurisdictions subject to OFAC sanctions or other applicable restricted-party lists.

Circumvention

Attempt to bypass compliance controls, transaction monitoring, rate limits, or security measures.

Interference

Disrupt, overload, reverse engineer, or attempt to gain unauthorized access to the Services or related systems.

Netaro is a Registered Money Services Business (MSB) under FinCEN and operates an audit-first compliance program. As a condition of using the Services, you agree to cooperate with all KYB, Anti-Money Laundering (AML), sanctions screening, and ongoing due-diligence requirements. Netaro may suspend, delay, or decline to process any transaction, and may suspend or terminate access, where required to comply with the Bank Secrecy Act, FinCEN regulations, FATF recommendations, OFAC requirements, or other applicable law.

Netaro provides API-first infrastructure that enables Clients to execute cross-border fiat settlements using fiat-backed stablecoins as the underlying settlement rail. You are responsible for the accuracy and completeness of all payment instructions you submit. Settlement timelines, supported corridors, currencies, and fees are as described in your services agreement or applicable order form. Netaro does not provide investment, tax, accounting, or legal advice, and the Services do not constitute a deposit account or banking service.

Fees for the Services are set out in your services agreement or applicable order form. Unless otherwise agreed in writing, fees are exclusive of taxes, and you are responsible for all applicable taxes (other than taxes based on Netaro's net income). Late or unpaid amounts may result in suspension of the Services.

Netaro and its licensors retain all right, title, and interest in and to the Services, including all software, APIs, documentation, and trademarks. Subject to these Terms, Netaro grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services solely for your internal business purposes during the term of your services agreement. You retain all rights to your own data submitted to the Services.

Each party may receive confidential information of the other in connection with the Services. The receiving party will use such information only to perform under these Terms and will protect it with at least the same degree of care it uses for its own confidential information. This section does not apply to information that is publicly available, independently developed, or required to be disclosed by law or regulatory authority.

Netaro will use commercially reasonable efforts to make the Services available, subject to scheduled maintenance, required compliance actions, and events beyond its reasonable control. Any service-level commitments, if applicable, are set out in your services agreement. The Services may depend on third-party payment partners, banking partners, and infrastructure providers whose availability is outside Netaro's control.

Except as expressly stated in a written services agreement, the Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Netaro does not warrant that the Services will be uninterrupted, error-free, or free of harmful components.

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data, arising out of or related to the Services. Except for liability arising from a party's gross negligence, willful misconduct, or breach of confidentiality obligations, each party's aggregate liability arising out of or related to these Terms will not exceed the fees paid or payable by you to Netaro for the Services in the twelve (12) months preceding the event giving rise to the claim.

You agree to defend, indemnify, and hold harmless Netaro and its affiliates, officers, and employees from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Services, your violation of these Terms, or your violation of applicable law.

Netaro may suspend or terminate access to the Services, in whole or in part, where required by law or regulatory obligation, in response to a security or compliance risk, or for material breach of these Terms. Either party may terminate as set out in the applicable services agreement. Provisions that by their nature should survive termination — including intellectual property, confidentiality, disclaimers, limitation of liability, and indemnification — will survive.

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute arising out of or relating to these Terms, except where a written services agreement specifies an alternative dispute-resolution mechanism, which will control.

Netaro may update these Terms from time to time. For material changes, Netaro will provide reasonable advance notice via email to the registered contact of record and/or a prominent dashboard notification. Continued use of the Services following the effective date of updated Terms constitutes acceptance of the revised Terms.
